Website Service Terms

These Terms govern the provision of the additional "Website Optimization" service (hereinafter "the Website Service"), offered by Fabrice Dal Maso, self-employed (autónomo), Tax ID: Z0414929Z, Calle Zurbaran 22, 03187 Los Montesinos, Alicante, Spain (hereinafter "LocalPatron"), independently of and in addition to the LocalPatron SaaS platform (Google Business Profile), which is governed by its own Terms of Service.
1. Purpose and scope of the Service
The Website Service includes, as agreed in each individual quote:
- Free, no-obligation technical audit of the client's website (or a recommendation to build one if none exists).
- Results report: real-world speed (Core Web Vitals), technical SEO, local content, mobile experience, and compatibility with search engines and AI.
- A tailored optimization or build quote, only if requested by the client after the audit.
- Delivery of the services accepted in writing by the client (email or signed quote).
The initial audit is always free and creates no obligation to purchase. The Website Service is only activated once the client has expressly accepted a quote.
2. Process and quote formalization
2.1. The client requests a free audit via the form at localpatron.app/en/sitio-web.
2.2. LocalPatron responds with a detailed quote (scope, price, indicative timeline) typically within 48 business hours.
2.3. The quote is only considered accepted upon express written confirmation from the client (acceptance email or electronic signature). Without this express acceptance, no contractual obligation exists between the parties.
2.4. Any change to the agreed scope (additional pages, features not included in the initial quote) must be formalized via a supplementary quote.
3. Price and payment terms
3.1. The price of the Website Service is set individually in each quote, based on the actual scope of the project (audit, site type, number of pages, languages, features). There is no published fixed rate, given the bespoke nature of the service.
3.2. Unless otherwise expressly stated in the quote: a 50% deposit of the total amount is requested upon acceptance of the quote, with the remaining 50% due upon final delivery of the site, before transfer of access credentials and final intellectual property (see Section 6).
3.3. Prices stated in quotes are exclusive of VAT (net) for professionals holding a valid intra-EU VAT number. Applicable VAT (rate in force at the time of invoicing) will be detailed on the corresponding invoice. For clients without a valid intra-EU VAT number, current Spanish VAT will apply.
3.4. In the event of non-payment of the final balance, LocalPatron reserves the right to withhold delivery of final access credentials until payment is regularized.
3.5. In the event of non-payment by the due date, late payment interest under Ley 3/2004, of 29 December, on measures against late payment in commercial transactions, will apply automatically, without prior notice being required.
4. Delivery timelines
Timelines stated in the quote are estimates, calculated from the date the quote is accepted and all necessary materials are received from the client (content, text, images, access credentials). A delay by the client in providing these materials proportionally extends the delivery timeline, without any right to compensation.
5. Included revisions
Unless otherwise stated in the quote, the agreed price includes up to two (2) rounds of revisions on delivered proposals. Additional change requests, or substantial changes to the initial scope, may be billed separately subject to the client's agreement.
6. Intellectual property
6.1. Upon full payment of the total agreed amount, the client acquires full ownership of the delivered website (design, custom code developed, and content written for the project), excluding third-party licensed elements (themes, fonts, stock images, software libraries) which remain subject to their own licenses.
6.2. Until full payment of the total amount, LocalPatron retains ownership of the deliverables; any use by the client before such payment is considered provisional and revocable.
6.3. Unless the client expressly objects in writing, LocalPatron may reference the completed project (business name, screenshots, site type) as a commercial reference on its own website or presentation materials, without disclosing confidential information about the client's business.
7. Warranties and limitation of liability
7.1. LocalPatron undertakes to perform the Website Service in accordance with best practice and the technical standards in force at the time of delivery (Google Core Web Vitals, accessibility, best practices).
7.2. LocalPatron does not guarantee any specific ranking outcome in search engines: Google's and other search engines' algorithms are outside LocalPatron's control and constantly evolve. No serious professional in the industry can guarantee a #1 ranking.
7.3. LocalPatron's liability is limited, in all cases and except in the event of willful misconduct or gross negligence, to the amount actually paid by the client for the Website Service at issue.
7.4. The client is responsible for the accuracy, legality, and ownership of the content (text, images, trademarks) it provides for publication on the website.
8. Personal data protection
Data collected through the quote request form (name, email, phone, business description) is processed solely to prepare and manage the quote and the Website Service contractual relationship. The data controller is Fabrice Dal Maso — LocalPatron. This data is not reused for the LocalPatron SaaS platform unless the client is also a user of that platform. 9. Termination and cancellation
9.1. The client may cancel the project before work has effectively begun, with a right to full reimbursement of the deposit paid.
9.2. Once work has begun, if the client cancels, LocalPatron will invoice the work actually performed up to the cancellation date, deducted from the deposit paid. Any remaining deposit balance will be refunded to the client.
9.3. LocalPatron reserves the right to terminate the contract in the event of non-payment, requests for manifestly unlawful content, or serious breach of these Terms by the client.
10. Governing law and jurisdiction
These Terms are governed by Spanish law. In the event of an unresolved dispute, professional users may refer the matter to the courts of Torrevieja (Alicante, Spain), without prejudice to other competent courts under applicable law. The Website Service is intended exclusively for professionals (B2B).
11. Force majeure
LocalPatron shall not be liable for delays or failures resulting from causes beyond its reasonable control, including without limitation: hosting or infrastructure provider failures (Cloudflare, Supabase), third-party API interruptions (Google, AI services), natural disasters, social unrest, pandemics, or decisions by public authorities. In the event of force majeure, LocalPatron will notify the client as soon as reasonably possible, and the parties will agree in good faith on the conditions for resuming or terminating the contract.
